2009 Youth Constitution
ARTICLE 1
NAME AND PURPOSE SECTION1.
The orgination shall be a division of the American Paint Horse Association, shall operate within the scope of the by-laws,
rules, and regulations of the American Paint Horse Association, the Silver State Paint Horse Club, the laws of the State of Nevada,
and shall be called the Silver State Paint Horse Club Youth. SECTION 2.
The objectives and purpose of the Silver State Paint Horse Club Youth, hearafter referred to as the SSPHCY, shall be as followes: (a)
To improve and promote the American Paint Horse Breed. (b) To improve
and develope the capabilities of youth, both individually and through group
participation, in the breeding,raising and exibition of Nevada Paint Horses. (c) To
develope and improve scholarship, leadership, and community interest and participation
of young horsemen. (d) To encourage high moral character, sportsmanship
and clean living among all its members. (e)
To establish a means whereby juniors may work in conjuction with theAmerican
Paint Horse Association Youth Activities Committee. (f) To
assist other regional junior clubs composed of members of the AJPHA. (g)
To acquaint junior members and clubs with the parent orginization, APHA; its
structure and function. ARTICLE
ll
MEMBERSHIP SECTION 1.
The membership of this cllub shall be open to any individual who has not reached his nineteenth
(19th) birthday as defined by the APHA Rule book, who is not married or divorced, and who is interested in American Paint
Horses. Membership dues shall be concurrent
with the SSPHC current dues, and shall be collected by the Treasurer in co-operation with the SSPHC treasurer.
ARTICLE lll
OFFICERS AND DIRECTORS SECTION 1.
The business and property of the club shall be managed and controlled by the Board of Directors and the Executive Committee
hereinafter created and empowered at the direction of the members. SECTION 2.
Powers of the Board and Executive Committee
The Board of Directors and Executive Committee shall have the power and authority to direct the affairs of the organization,
including but not limited to, the right to make, amend and repeal the constitution of the club, as they may deem expedient
concerning the conduct, management and activities of the organization, the admission, classification, qualification, suspension
and expulsion of members, removal of off offcers, expenditure of money, and other details relating to the general purpose
of the organization, subject to the approval of the Advisory Board. SECTION 3.
Officers The officers of the club shall
be the President, Vice President, Secretary, and Treasurer, who shall be eledted by the members. Such officers shall
hold office for a period of one year and until their successors are elected and qualified. (a)
President The president shall be the chief officer of the club and shall have the general supervision of the
affairs of the club. He shall preside at all meetings of the club and shall perform all other duties that may be prescribed
by the Board and Executive Committee. The President shall appoint all committees of the club subject to the approval
of the Board and Executive Committee. (b) Vice President The Vice President
shall, in the absence,disability or inability to act of the President, perform the duties and exercise the powers of the President,
and shall perform such other duties as the President shall from time to time prescribe. (c)
The Secretary shall attend all meetings of the members and of the Board of Directors and shall record or cause to be recorded
all votes taken and the minutes of all procedings in a minutes book of the club to be kept for that purpose. He/She
shall perform like duties for the committees when requested to do so. The Secretary shall have the responsisbility to
give or cause to be given notice of all meetings of the Board or membership, but this shall not lessen the authority of others
to give such notice as provided in this constitution. (d) Treasurer The Treasurer
shall have the responsibility for the safekeeping of the funds and securities of the club and shall keep or cause to be kept
a full and accurate account of all receipts and disbursements in books belonging to the club. He shall keep or cause
to be kept all books of account and accounting records of the club as shall be necessary, and shall deposit or cause to be
the credit of the club in such depositories as may be disignated by the Board of Directors and Executive Committee.
He/She shall coordinate the collection of the dues of members and shall disburse or cause to be disbursed, the funds of the
club, as may be ordered, or authorized generally and shall render to the President of the club and the the Board of Directors
and Executive Committee, whenever requested, an account of all transactions as Treasurer and of those under his jurisdiction
and the financial condition of the club. In addition, the treasurer shall make an annual report to the membership. (e)
Directors Two (2) Directors-at-large shall be elected each year, with the duties and powers aforementioned in
this constitution. Past-president shall be a director. (f) Reporter The
Reporter shall coordinate news items and oversee their distributation to the necessary media. He/She shall be responsible
for the information distributed to the APHA Journal and the SSPHC Newsletter, to help keep the information current.
ARTICLE IV
ADVISORY BOARD The advisory board of this club shall consist
of the SSPHC President, and three designated youth advisors. The club further welcomes assistance and ideas from any
interested adults that are willing to devote time to help, advise and give ideas to better the Club. All
actions of the SSPHCY shall be subject to the Advisory Board's approval.
ARTICLE V
PLACE OF BUSINESS SECTION 1. The principal area encompassed by the
SSPHCY shall be the area known as the Southern Half of Nevada. SECTION 2. The
place of business of the club shall be the address of the current President. All correspondence shall be directed to
the current President.
ARTICLE Vl
ADMENDMENTS The constitution of the Silver State Paint Horse Club Youth
may be amended at a meeting of the members by a two-thirds vote of all members present. Any proposed amendments
to these by-laws must be submitted in writing and signed by five members in good standing. All
major votes must be passed by two-thirds of all members either by being present or by phone call. All other votes may
pass by 51% of members present.
ARTICLE Vll
RULES OF ORDER "Roberts Rules of Order" shall be the parliamentary
authority on all matters not specifically covered in this constitution. The SSPHCY will further co-operate and abide
